By accessing or using Kim Agri Nexus ("the Platform", "we", "us", "our"), including our website, mobile application, IoT sensor services, and any related services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.
Kim Agri Nexus provides agricultural technology services including but not limited to: AI crop yield predictions, pest and disease alerts, real-time weather forecasts and recommendations, IoT sensor data collection and analysis (soil moisture, temperature, humidity), market access and price discovery, farm financing referrals and partnerships, farmer training courses and webinars, farm analytics and reporting, community forum access, and related agricultural advisory services.
Farmers, agribusinesses, and partners must register to access certain features of the Platform. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to register. By registering, you represent that you are a legal resident of Kenya or the country where you use the Platform.
You agree to use the Platform only for lawful purposes related to farming, agriculture, agribusiness, and agricultural technology research. You may not use the Platform to: harass, abuse, or harm others; impersonate any person or entity; upload viruses or malicious code; collect user data without consent; interfere with the proper functioning of the Platform; or violate any applicable laws or regulations.
Our AI predictions, weather forecasts, pest alerts, and recommendations are generated using machine learning models trained on historical data. While we strive for accuracy, we do not guarantee that predictions will be 100% accurate. Weather patterns, pest behavior, and crop outcomes are subject to many variables beyond our control. You agree to use your own judgment in making farming decisions. Kim Agri Nexus shall not be liable for any losses resulting from reliance on AI predictions or recommendations.
If you participate in our IoT sensor program, you agree to allow Kim Agri Nexus to collect, store, and analyze data from sensors placed on your farm. This data includes soil moisture levels, temperature, humidity, and other environmental metrics. Anonymized and aggregated data may be used for research, analytics, and improving our AI models. We will not sell your personal identifiable sensor data to third parties without your consent.
Kim Agri Nexus facilitates connections between farmers and buyers through our Market Hub. We are not a party to any transaction between farmers and buyers. We do not verify the quality of produce or the reliability of buyers. You agree to transact at your own risk. Kim Agri Nexus charges a commission fee (currently 5%) on each successful transaction facilitated through our platform. Commission rates may be updated with notice.
Kim Agri Nexus partners with banks, microfinance institutions, and other lenders to provide financing referrals. We do not lend money directly. We do not guarantee loan approval or favorable terms. Your relationship with lenders is governed by their separate agreements. We may receive a referral fee from lenders for successful loan applications.
All content, features, and functionality of the Platform – including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, source code, AI models, and trademarks – are owned by Kim Agri Nexus or our licensors and are protected by Kenyan and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Platform without express written permission.
You retain ownership of any content you submit to the Platform (testimonials, forum posts, farm data, etc.). By submitting content, you grant Kim Agri Nexus a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and display such content in connection with our services. You represent that you have all rights necessary to grant this license.
Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.
The Platform may contain links to third-party websites, services, or resources. We do not control and are not responsible for the content, privacy practices, or availability of such third parties. You access them at your own risk.
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses. We do not warrant that AI predictions, weather forecasts, or recommendations will be accurate, reliable, or complete. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Kim Agri Nexus, its founder Kefin Kimani Muthoni, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, crops, livestock, or business interruption, arising from your use of or inability to use the Platform. Our total liability to you for any claim shall not exceed the amount you paid us in the preceding 12 months (or $100 if you paid nothing).
You agree to indemnify, defend, and hold harmless Kim Agri Nexus and its founder, employees, partners, and affiliates from any claims, damages, losses, liabilities, costs, or expenses arising from your use of the Platform, violation of these Terms, or violation of any rights of a third party.
We reserve the right to terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Platform will cease immediately. Provisions that by their nature should survive termination (intellectual property, disclaimer of warranties, limitation of liability, indemnification) shall survive.
We may modify these Terms at any time by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in Nairobi, Kenya, in accordance with the rules of the Nairobi Centre for International Arbitration (NCIA). Each party shall bear its own arbitration costs.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kim Agri Nexus regarding your use of the Platform, superseding any prior agreements.
